1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ('you') and Synthetix Design Lab LLC ('Company', 'we', 'us', or 'our'), concerning your access to and use of the synthetixdesign.io website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the 'Site'). Our company is registered in California, United States, under registration number C4589210 and has its registered office at 128 Spear St, Floor 4, San Francisco, CA 94105. You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, then you are expressly prohibited from using the Site and our services and you must discontinue use immediately.

2. Description of Services

Synthetix Design Lab LLC provides professional education and training in the field of AI-driven web design. Our services include, but are not limited to, the Foundations Track, Advanced Architect Bootcamp, and Masterclass Fellowship (collectively, the 'Services'). These Services are delivered through a combination of live virtual sessions, pre-recorded content, and interactive laboratory environments. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including the availability of any feature, database, or content, with or without notice, though we will make reasonable efforts to inform active students of significant changes.

3. Intellectual Property Rights

Unless otherwise indicated, the Site and the Services are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the 'Content') and the trademarks, service marks, and logos contained therein (the 'Marks') are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions.

Regarding AI-generated outputs: While the underlying curriculum and proprietary neural plugins remain the property of Synthetix Design Lab LLC, the specific design assets and project outputs created by students during their course of study are generally considered the intellectual property of the student, subject to the terms of the specific AI models utilized (e.g., Midjourney, OpenAI). Synthetix Design Lab LLC retains a non-exclusive, perpetual license to showcase student work in our portfolios and marketing materials, unless otherwise requested in writing by the student.

4. User Obligations and Enrollment

By enrolling in our Services, you represent and warrant that: (a) all registration information you submit will be true, accurate, current, and complete; (b) you will maintain the accuracy of such information and promptly update such registration information as necessary; (c) you have the legal capacity and you agree to comply with these Terms and Conditions; (d) you are not a minor in the jurisdiction in which you reside; (e) you will not access the Site through automated or non-human means, whether through a bot, script or otherwise; (f) you will not use the Site for any illegal or unauthorized purpose; and (g) your use of the Site will not violate any applicable law or regulation.

Students are expected to maintain a professional standard of conduct within our digital laboratory environments and alumni networks. Synthetix Design Lab LLC reserves the right to terminate access to the Services for any user who engages in harassment, unauthorized distribution of course materials, or any activity that compromises the integrity of our educational platform.

5. Payment and Refund Policy

Payment for our Services must be made in full at the time of enrollment unless a structured payment plan has been expressly approved by our financial department. All fees are quoted in USD and are inclusive of applicable taxes for California residents. We offer a 14-day satisfaction guarantee for our Foundations and Advanced tracks. If you are not satisfied with the course content within the first 14 days of your cohort's start date, you may request a full refund, minus a small administrative processing fee. After the 14-day period, all sales are final, and no refunds will be issued.

6. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or the Services, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

7. Dispute Resolution and Governing Law

These Terms and Conditions and your use of the Site are governed by and construed in accordance with the laws of the State of California and the United States, without regard to its conflict of law principles. Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in San Francisco, California, and the parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.
